These Terms of Service ("Terms") govern your access to and use of PedagUSA.com (the "Site"), including any purchases made through the Site.
The Site is operated by Talaria LLC, doing business as Pedag USA ("Pedag USA," "we," "us," or "our").
1. Acceptance of These Terms
You accept these Terms by creating an account, placing an order, or otherwise using the Site.
When you create an account or place an order, you will be presented with a link to these Terms and asked to affirmatively agree to them before completing the action. We maintain records of that acceptance, including the version of the Terms presented, the date and time of acceptance, and the account or order to which it relates. We may produce those records in connection with any dispute regarding these Terms.
If you do not agree to these Terms, do not create an account, place an order, or use the Site.
2. Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms.
You agree not to:
- use the Site for fraudulent, unlawful, or abusive purposes;
- interfere with the operation or security of the Site;
- attempt to gain unauthorized access to any part of the Site or its systems;
- use automated tools, bots, scraping software, or similar methods to extract information from the Site without our permission;
- copy, reproduce, distribute, or commercially exploit Site content except as permitted by law or with our written consent; or
- submit false or misleading information when placing an order or contacting us.
We may restrict, suspend, or terminate access to the Site if we reasonably believe these Terms have been violated.
3. Eligibility
By using the Site or placing an order, you represent that you are legally capable of entering into a binding agreement.
If you are under the age of majority in your jurisdiction, you may use the Site only with the involvement and permission of a parent or legal guardian. The Site is not directed to children under 13, and we do not knowingly permit anyone under 13 to create an account.
4. Products and Product Information
We make reasonable efforts to accurately display product descriptions, specifications, photographs, colors, sizes, materials, prices, and other information.
However, actual product appearance may vary slightly from photographs because of differences in lighting, photography, packaging revisions, manufacturing changes, computer displays, and other factors.
We may modify product specifications, packaging, formulations, availability, or other characteristics without prior notice when appropriate.
Unless expressly stated otherwise, product information provided on the Site is for general informational purposes.
5. Insoles, Foot-Care Products, and Medical Disclaimer
Pedag products may include insoles, cushions, supports, shoe inserts, and other products intended to improve footwear comfort or support.
Unless specifically stated otherwise, products sold through the Site are consumer products and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
Information appearing on the Site should not be considered medical advice and is not a substitute for advice from a qualified physician, podiatrist, physical therapist, or other healthcare professional.
If you have persistent foot pain, an injury, diabetes, circulatory problems, neuropathy, or another medical condition affecting your feet, consult an appropriate healthcare professional regarding the suitability of any product.
Individual results and comfort may vary.
6. Orders
Submitting an order through the Site constitutes an offer to purchase the products in your order.
We reserve the right to accept or decline an order for any lawful reason, including:
- product unavailability;
- pricing or product-description errors;
- suspected fraud;
- payment authorization problems;
- limitations on quantities available for purchase; or
- orders that appear to be intended for unauthorized resale.
An automated order confirmation acknowledges that we received your order but does not necessarily constitute final acceptance of the order.
We may cancel an order and issue a refund if we are unable to fulfill it.
7. Pricing
Prices displayed on the Site are shown in U.S. dollars unless otherwise indicated.
We may change prices at any time without prior notice. A price change will not normally affect an order that we have already accepted.
Although we make reasonable efforts to ensure pricing accuracy, errors may occasionally occur. If an obvious pricing error affects an order, we may contact you for instructions or cancel the affected item and refund any amount paid for it.
Discounts, promotional codes, and special offers may be subject to separate conditions and may be modified or discontinued at any time unless otherwise required by law.
8. Taxes
Applicable sales tax and other taxes may be calculated and added to your order as required by law.
The amount shown during checkout will generally reflect the taxes we are required to collect based on the information available to us at the time of purchase.
9. Payment
You agree to provide current, complete, and accurate billing and payment information.
By providing a payment method, you represent that you are authorized to use it and authorize us and our payment processors to charge the applicable order amount, including taxes, shipping charges, and other disclosed fees.
Payment processing may be performed by third-party payment providers and may also be subject to their terms and privacy policies.
10. Shipping, Delivery, and Risk of Loss
Shipping options, estimated delivery times, and applicable charges are displayed during checkout or elsewhere on the Site.
Delivery dates are estimates unless we expressly state otherwise. Delays may occur because of carriers, weather, address problems, holidays, supply interruptions, or events outside our reasonable control.
Risk of loss. Title to and risk of loss for products purchased through the Site pass to you upon delivery of the products to the shipping address you provide. If a shipment is lost, or arrives damaged, in transit, contact us using the information in Section 33 and we will arrange a replacement or refund in accordance with our Return Policy. This provision does not apply to shipments that a carrier records as delivered but that are removed, misplaced, or stolen after delivery, or to shipments that fail because you provided an inaccurate or incomplete address.
You are responsible for providing an accurate and complete shipping address. Additional charges may apply to shipments that are undeliverable, refused, or returned to us because of an incorrect address.

11. Returns, Exchanges, and Refunds
Returns, exchanges, and refunds are governed by our Return Policy as posted on the Site.
Certain items may be subject to additional restrictions because of their condition, use, hygiene considerations, clearance status, or other circumstances disclosed at the time of purchase.
Nothing in these Terms limits any return, refund, warranty, or consumer protection right that cannot legally be waived.
12. Promotions and Discount Codes
Promotional codes and discounts:
- may have expiration dates;
- may apply only to specified products or order values;
- may not be combined with other offers unless expressly permitted;
- may be limited to one use per customer or household; and
- have no cash value unless required by law.
We may cancel or refuse a promotion that is used fraudulently, improperly, or contrary to its stated terms.
13. Accounts
Certain Site features may permit you to create a customer account.
You are responsible for keeping your login credentials confidential and for activity occurring through your account.
Please notify us promptly if you believe your account has been accessed without authorization.
We reserve the right to suspend or terminate accounts used in violation of these Terms.
14. Reviews and User-Submitted Content
If you submit a product review, photograph, comment, testimonial, suggestion, or other content to us or through the Site ("User Content"), you represent that:
- you have the right to submit the content;
- the content is accurate to the best of your knowledge;
- it does not violate another person's intellectual property, privacy, or other rights;
- it does not contain unlawful, threatening, defamatory, fraudulent, or otherwise inappropriate material; and
- it reflects your honest opinion and experience, and you have disclosed any material connection between you and Pedag USA (including any free product, discount, payment, or other incentive you received) in the content itself.
License. By submitting User Content for publication, you grant Talaria LLC a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, host, store, reproduce, display, perform, distribute, modify, adapt, create derivative works from, translate, and publish that User Content, in whole or in part, in any medium now known or later developed, in connection with Pedag USA and its products, services, websites, advertising, marketing, packaging, and third-party retail and marketplace listings, subject to applicable law. This license includes the right to use the first name, username, city, and general location you submit alongside the content for attribution. To the fullest extent permitted by applicable law, you waive any moral rights or rights of attribution or integrity in the User Content, and you waive any claim for compensation arising from our use of it. This license survives any termination of your account or removal of the content from the Site.
Moderation. We are not obligated to publish or retain User Content. We may decline to publish or may remove User Content that violates these Terms, that is unlawful, that is not a bona fide review, that contains personal or contact information, or that is unrelated to the product. We do not remove, edit, suppress, reorder, or refuse to publish reviews on the basis of the rating given or because a review is critical of a product or of Pedag USA, and we do not publish reviews that we know to be fabricated. Reviews displayed on the Site may be filtered or sorted by criteria disclosed on the Site.
15. Copyright Complaints and DMCA Notices
We respect the intellectual property rights of others and respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512.
Designated Agent. Notices of claimed copyright infringement should be sent to our designated agent:

Notice requirements. A valid notice must be a written communication that includes substantially the following:
- A physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are covered by a single notice;
- Identification of the material claimed to be infringing, with information reasonably sufficient to permit us to locate it (such as the URL of the page on which it appears);
- Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and email address;
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement that the information in the notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right allegedly infringed.
Our response. Upon receipt of a valid notice, we will remove or disable access to the material and will take reasonable steps to notify the person who submitted it.
Counter-notification. If you believe your material was removed or disabled as a result of mistake or misidentification, you may send a counter-notification to the designated agent above containing substantially the following:
- Your physical or electronic signature;
- Identification of the material that was removed or disabled and the location at which it appeared before it was removed or disabled;
- A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; and
- Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, the Western District of Washington), and that you will accept service of process from the person who submitted the original notice or that person's agent.
If we receive a valid counter-notification, we may restore the material in not less than 10 and not more than 14 business days following receipt, unless the original complaining party notifies us that it has filed an action seeking a court order to restrain the allegedly infringing activity.
Misrepresentations. Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages.
Repeat infringers. We will, in appropriate circumstances, disable or terminate the accounts of users who are repeat infringers.
16. Intellectual Property
The Site and its contents, including text, photographs, graphics, logos, product descriptions, videos, designs, software, and other materials, are owned by or licensed to Talaria LLC d/b/a Pedag USA or their respective licensors and are protected by applicable intellectual-property laws.
PEDAG, associated logos, product names, trademarks, trade dress, and other brand identifiers are the property of their respective owners.
Nothing in these Terms gives you ownership of or a license to use any trademark, logo, copyright, or other intellectual property except for the limited right to access and use the Site for personal, lawful purposes.
17. Third-Party Services and Links
The Site may contain links to or integrations with third-party websites and services, including payment processors, shipping providers, social-media platforms, and other service providers.
We do not control third-party websites and are not responsible for their content, policies, availability, security, or practices.
Your use of third-party services may be governed by separate terms and privacy policies.
18. Privacy
Our collection and use of personal information is described in our Privacy Policy.
By using the Site, you acknowledge that your information may be processed as described in that policy.
19. Electronic Communications
When you use the Site, place an order, or communicate with us electronically, you consent to receiving transactional communications electronically, including order confirmations, shipping notices, account communications, and other notices related to your transactions.
Marketing emails are governed by the consent choices presented when you subscribe. You may unsubscribe from marketing emails using the methods provided in those communications. Text messages are governed by Section 20.
20. SMS/Text Message Program
Consent. By providing your mobile telephone number and affirmatively opting in — for example, by checking the SMS consent box at checkout or in your account settings, or by texting the applicable keyword to our program number — you give your prior express written consent to receive recurring autodialed marketing, promotional, and transactional text messages from Pedag USA at that number. Consent to receive marketing text messages is not a condition of purchasing any goods or services. You represent that you are the subscriber to, or the customary user of, the mobile number you provide, and that you are authorized to consent to receive messages at that number.
Message and data rates may apply. Your mobile carrier is not liable for delayed or undelivered messages.
Opting out. You may cancel at any time by replying STOP to any message from us. After you send STOP, we will send one confirmation message and will not send further marketing texts to that number unless you opt in again. You may also opt out by contacting us using the information in Section 33 or by updating your account preferences.
Help. Reply HELP to any message for assistance, or contact us using the information in Section 33.
Changing or reassigning your number. You agree to notify us promptly if you cancel, transfer, or give up a mobile number for which you have provided consent, so that we do not send messages to a subsequent subscriber of that number.
Supported carriers and availability. Not all mobile carriers or devices support text messaging, and availability may change without notice. Messages may be delayed or undelivered for reasons outside our control.
Privacy. Information collected through the SMS program is handled as described in our Privacy Policy. We do not sell or share mobile numbers or SMS consent with third parties for their own marketing purposes.
21. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Site and its content are provided on an "as is" and "as available" basis.
We make no guarantee that the Site will always be available, uninterrupted, secure, or error-free.
EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY US IN CONNECTION WITH A SPECIFIC PRODUCT, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS SOLD THROUGH THE SITE AND ALL CONTENT AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED WITHOUT WARRANTY OF ANY KIND, AND TALARIA LLC D/B/A PEDAG USA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING BY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT ANY PRODUCT WILL BE SUITABLE FOR YOUR PARTICULAR FOOT, GAIT, FOOTWEAR, MEDICAL CONDITION, OR INTENDED USE, OR THAT ANY PRODUCT WILL RELIEVE OR IMPROVE ANY PAIN, DISCOMFORT, OR CONDITION. Selection of an appropriate product for a medical condition should be made in consultation with a qualified healthcare professional, as described in Section 5.
Products sold through the Site may be subject to warranties provided by their manufacturer or supplier. Any such warranty is subject to its applicable terms.
Some jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty lasts, so the exclusions above may not apply to you in whole or in part, and you may have other rights that vary by jurisdiction. Where an implied warranty cannot be disclaimed, it is limited in duration to the shortest period permitted by applicable law.
22. Limitation of Liability
To the fullest extent permitted by applicable law, Talaria LLC, Pedag USA, and their affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Site or products purchased through the Site.
To the fullest extent permitted by law, our aggregate liability relating to a product purchased through the Site will not exceed the amount you paid for the product giving rise to the claim. For any claim that does not arise from a product purchase, our aggregate liability will not exceed the greater of (a) the total amount you paid to us in the twelve months preceding the event giving rise to the claim or (b) one hundred U.S. dollars ($100).
These limitations do not apply to liability that cannot legally be excluded or limited.
23. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Talaria LLC, Pedag USA, and their affiliates, officers, employees, and agents from claims, losses, liabilities, damages, and reasonable expenses arising from your unlawful use of the Site, your violation of these Terms, or your violation of another person's rights.
24. Force Majeure
We will not be responsible for delays or failure to perform resulting from circumstances beyond our reasonable control, including natural disasters, severe weather, labor disruptions, transportation interruptions, carrier delays, government actions, supply-chain interruptions, utility failures, cyberattacks, epidemics, wars, or similar events.
25. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles.
To the extent permitted by applicable law, any legal proceeding relating to these Terms or your use of the Site will be brought in a court of competent jurisdiction located in the State of Washington.
Nothing in this section limits any rights you may have under mandatory consumer-protection laws applicable in your state of residence.
26. Class Action Waiver, Jury Trial Waiver, and Time Limit on Claims
Please read this section carefully. It affects your legal rights, including your right to participate in a class action and your right to a jury trial.
Class action waiver. To the fullest extent permitted by applicable law, you and Talaria LLC each agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product purchased through the Site will be brought only in an individual capacity, and not as a plaintiff, class member, or representative in any purported class, collective, consolidated, private attorney general, or representative proceeding. Claims of more than one customer may not be joined or consolidated. If a court determines that this class action waiver is unenforceable as to a particular claim or request for relief, that claim or request for relief will be severed and may proceed in court, while all remaining claims proceed on an individual basis.
Jury trial waiver. To the fullest extent permitted by applicable law, you and Talaria LLC each knowingly, voluntarily, and intentionally waive any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to these Terms, the Site, or any product purchased through the Site.
Time limit on claims. To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms, the Site, or any product purchased through the Site must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred. This limitation applies to you and to us alike.
Exceptions. Nothing in this section waives any right that cannot lawfully be waived, limits any claim that must be brought under a longer statutory period that cannot be shortened by agreement, prevents either party from bringing an individual action in small claims court, or prevents you from reporting a concern to, or seeking relief through, a government agency.
27. Changes to These Terms
We may update these Terms from time to time to reflect changes to our business, Site, products, practices, or applicable legal requirements.
The Terms that apply to a purchase are the Terms in effect at the time you place that order. Revisions to these Terms do not apply retroactively to orders we have already accepted.
When we make changes, we will update the "Last Updated" date at the top of this page. If we make a material change to these Terms, we will provide reasonable advance notice before the change takes effect — by posting a notice on the Site, by email, or by asking you to accept the revised Terms the next time you sign in or check out. Material changes take effect on the stated effective date.
Your continued use of the Site after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree to a revised version, you should stop using the Site and may close your account.
28. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
29. No Waiver
Our failure to enforce a provision of these Terms does not waive our right to enforce that or any other provision later.
30. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
31. Survival
Sections that by their nature should survive termination will survive, including Sections 14 (Reviews and User-Submitted Content), 16 (Intellectual Property), 21 (Disclaimer of Warranties), 22 (Limitation of Liability), 23 (Indemnification), 25 (Governing Law), 26 (Class Action Waiver, Jury Trial Waiver, and Time Limit on Claims), and this Section 31.
32. Entire Agreement
These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, and any other policies expressly incorporated into these Terms, constitute the agreement between you and us regarding your use of the Site and purchases made through it.
